It seems in addition to the Estate's response, WB jumped on the lawsuit along side Zaentz.

I find their argument hard to take especially after the Hobbit grossed past the billion mark not long ago.

"Bonnie Eskenazi, the attorney for the Tolkien estate, called Warners' counterclaim “nothing more than an effort to sue the Tolkiens and HarperCollins for suing them. They are entirely without merit and are a classic example of studio ‘bullying tactics.’ The Tolkiens and HarperCollins filed this lawsuit in order to force WB and Zaentz to live within the boundaries of the contract to which they agreed. WB’s and Zaentz’s amended counterclaims are simply an attempt to punish the Tolkiens and HarperCollins for having the nerve to stand up to the studios and tell them that they can’t take more rights than were granted to them by contract. Luckily, the law protects people like the Tolkiens and HarperCollins from these kinds of intimidation tactics."

WB's cease and desist hinges on their supposed licensing rights over the IP.
The Tolkien Estate put that into question however when they began their lawsuit against Zaents and WB, claiming that they have no such licensing rights.
If the Tolkien Estate wins, WB's cease and desist is void. The article I posted affirms the Estate's resolve.

Basically the article points out some of the irony associated with all the money and lawsuits being thrown around copyright law concerning the Hobbit (when the book's main theme is about that very same subject), while at the same time doing a brief overview of all the major legal disputes the Tolkien Estate's been in over the long years - including the latest one against Zaentz.
It's a pretty funny read with a little bit of sarcasm and a few digs at the Hobbit AUJ.

I was thinking about what's happened so far with Merp, about the parallels its development has had with the Ringbearer's story, about how many times Frodo's quest almost ended in tragedy but always avoided that end, even if only just so; I believe Merp is similar in that respect and one day we'll all look back on this happily in retrospect - Happy that WB didn't accomplish their goal of silencing this quietly. It's been made a huge court case now.
